The success of corporate governance is dependent not only on strict laws, regulations, codes, and policies but also on people and their strategic approach for change adoption who derive the corporate boards. The constitution, as per Section 178(1) to (4) of the Companies Act, 2013 and Regulation 19 of SEBI (LODR) Regulation, 2015 lay down guidelines for the roles and responsibilities of the nomination & remuneration committee (NRC).

The concept of diversity and inclusion in the boards is encouraged whereas, recent past instances of several boards upon becoming their failure have faced criticism for lack of sagacity and skills and hence, the effectiveness of fellow corporate boards is also questioned. The global COVID-19 pandemic has underscored the need for a holistic view of governance responsibilities, encompassing not just financial metrics but a wide range of corporate impacts. The pandemic and its potential impact on the economy has created a variety of issues and challenges in front of the NRC and as they have a difficult balance to strike between retaining, rewarding and incentivizing senior executives to lead organisations and ensuring pay outcomes are aligned with investors and other stakeholders.

In view of emerging trends in the practices of NRC as well as challenges being faced by them in framing, implementing, and oversighting of the policies and role in strengthening the overall corporate governance frameworks in the organizations, ASSOCHAM is organizing the Virtual Symposium on Corporate Governance Symposium - Series 3 "Effective Nomination and Remuneration Committee on 21st October 2021.
